Terms of Use

The conditions governing the subscription to and use of the Vigilioo platform.

1. Subject matter

These Terms govern access to and use of the Vigilioo platform, provided by COIN NODES LTDA (CNPJ 49.670.293/0001-03), including the web console, the APIs and the agent installed on monitored devices.

Vigilioo is licensed as a service (SaaS), by subscription. No ownership of the software is transferred: the customer receives a non-exclusive, non-transferable licence to use it for the term of the contract.

2. Registration and account

  • Registration requires truthful, complete and up-to-date information.
  • Credentials are personal and non-transferable; the customer is responsible for actions taken with them.
  • Suspected unauthorised access must be reported immediately so that we can act.
  • Vigilioo may suspend accounts showing signs of fraud, misuse or risk to the platform.

3. Plans, trial and payment

  • Plans, device allowances and the features of each are those described on the pricing page in force on the date of subscription.
  • All plans include a 7-day free trial.
  • The subscription is charged on a recurring basis, monthly or yearly at the customer's choice, and renews automatically until cancelled.
  • Cancellation may be requested at any time and takes effect at the end of the period already paid for; there is no pro-rata refund of the current cycle.
  • Prices may be adjusted with 30 days' prior notice, taking effect only in the following cycle.
  • Non-payment allows access to be suspended after notice to the customer.

4. Use of the platform and customer responsibilities

Vigilioo is a tool for administering corporate devices. The customer decides what to monitor, on which machines and to what extent — and is accountable for that decision.

  • Monitor only devices it owns or legitimately administers.
  • Inform, clearly and in advance, the people whose devices will be monitored, stating what is collected and for what purpose.
  • Ensure an adequate legal basis for the processing and observe applicable labour, union and data protection law.
  • Configure the scope of collection to the minimum necessary for the intended purpose.
  • Control who, within its organisation, has access to the records produced by the platform.

Covert monitoring is not the product

The platform exists to bring transparency to corporate endpoint management, not to enable clandestine surveillance. Using it without informing monitored people breaches these Terms and exposes the customer to the sanctions of the applicable legislation.

5. Prohibited uses

The customer and its users may not:

  • Install the agent on third-party devices without legitimate authorisation, including personal devices unrelated to professional activity.
  • Use the platform to stalk, harass or intimidate anyone.
  • Resell, sublicense or make the platform available to third parties without written authorisation.
  • Reverse-engineer, decompile or attempt to extract the source code.
  • Circumvent technical limits, quotas or security controls.
  • Use the platform for unlawful activity or activity that infringes third-party rights.

Any of these findings allows immediate suspension of access and termination of the contract, without prejudice to any other applicable measures.

6. Availability and support

We work to keep the platform continuously available, but the service may be interrupted for scheduled maintenance, announced in advance whenever possible, or by events beyond our reasonable control.

Support is provided through the channels listed on the website, on business days. Specific service level commitments, where they exist, are set out in the contract signed with the customer.

7. Intellectual property

The platform, the agent, the Vigilioo brand, the documentation and all website material belong to Coin Nodes LTDA and are protected by intellectual property law. Nothing in these Terms transfers those rights to the customer.

Data produced through use of the platform belongs to the customer, who may export it in the formats made available while the subscription is active.

8. Limitation of liability

Vigilioo is liable for direct damages demonstrably caused by a failure of the service, limited to the amount paid by the customer in the 12 months preceding the event.

We are not liable for decisions the customer makes based on platform data, for use in breach of these Terms, or for unavailability arising from the customer's own infrastructure, network or devices.

9. Term and termination

The contract remains in force while the subscription is active. Either party may terminate it: the customer through the console or the support channels, and Vigilioo with 30 days' prior notice, except in the event of a breach of these Terms, when termination is immediate.

Once the contract ends, data remains available for export for 30 days and is deleted thereafter, as set out in the Privacy Policy.

10. Changes to these Terms

These Terms may be amended at any time. Material changes are communicated 30 days in advance to active customers; continued use of the platform after that period constitutes acceptance of the new version.

11. Governing law and jurisdiction

These Terms are governed by Brazilian law. The courts of Sao Paulo/SP are elected to settle disputes that cannot be resolved amicably.
